Aaron Rabinowitz
Senior Vice President and General Counsel

Aaron’s practice includes regular handling of UMMS Corporate and management matters.  He is the senior leader supporting the “C-Suite” in all legal and related matters, and he supports all UMMS and member organization board-related activities.  Aaron participates in strategic planning for the development and growth of UMMS.  He acts as the liaison with UMMS, UMB, and SOM on various business and legal matters, including contractual arrangements (e.g., Annual Contract).  He also coordinates organizational and department responses to investigation efforts by regulatory authorities.

Prior to joining UMMS, Aaron acted as General Counsel at University of Maryland Upper Chesapeake Health.  He also worked as an associate attorney at Ober Kaler, where he specialized in health law, and as an antitrust economic consultant at CRA International.

Aaron obtained his J.D. from Harvard Law School.  Aaron also possesses a PhD in Health Policy from Harvard Graduate School of Arts and Sciences and a MA in Economic Policy Evaluation and Planning from the National University of Ireland, Galway.  He earned his bachelor’s degree from Haverford College. 




Adil Daudi
Vice President, Deputy General Counsel

Adil’s practice focuses on representing health care providers with hospital-physician transactions, fraud and abuse issues, HIPAA, governance in non-profit and tax-exempt organizations, and corporate compliance programs.  He has a particular interest in planning and negotiating complex joint venture transactions and affiliations involving hospitals and physicians. 

Adil has over 15 years of experience as a health care attorney.  Before joining UMMS in 2014, Adil was a member of the FDA and Healthcare Practice Group at the Washington, D.C. based law firm of Arnold & Porter.  Prior to that, he served as Associate General Counsel at the University of Michigan Health System.

Adil earned his J.D. from the Indiana University School of Law with a concentration in health law.  He earned his Bachelor of Arts in economics and political science from the University of Michigan.




Sandra (“Sandi”) H. Benzer
UM Capital Health General Counsel, UMMS Business & Litigation Counsel

Sandra is the General Counsel for UM Capital Region Health, where she is a member of the senior leadership, providing legal and strategic counsel to the health system’s management and Board of Directors. Sandra also supports other UMMS member organizations, focusing her practice on strategic business and operations support, business litigation and transactions, regulatory claims and investigation, and general health care management support.  She regularly handles matters involving corporate and medical staff bylaws, patient care and risk management, medical staff and credentialing, litigation support and dispute resolution, and real-estate transactions.

Sandra began her legal career as a litigator at the Baltimore law firm of Whiteford, Taylor & Preston.  Before joining the general counsel’s office, Sandra spent several years in-house with the Maryland Medicine Comprehensive Insurance Program, the self-insurance trust of the University of Maryland Medical System, managing medical malpractice and general insurance claims and litigation, and was Senior Vice President for Jury Impact, Inc.

Sandra is a graduate of the George Washington University, and she received her J.D. with honors from the University of South Carolina School of Law.  She is admitted to practice at the Maryland Bar and the Federal Bar for the U.S. District Court for the District of Maryland.




Kathryn M. Widmayer
Chief Labor & Employment Counsel

Kate is the Medical System’s Chief Labor & Employment Counsel.  Her practice focuses on the many federal, state, and local laws that govern the workplace.  Kate represents UMMS and its member organizations in administrative proceedings before the U.S. Equal Employment Opportunity Commission, the Maryland Commission on Civil Rights, and other regulatory bodies.  She counsels clients on compliance with labor and employment laws, complex employee-relations matters, and labor-management issues.  She also responds to attorney demand letters, conducts internal investigations, drafts employment agreements, drafts and reviews personnel policies, and conducts workplace training.

Prior to joining UMMS in 2010, Kate served as Assistant Solicitor with the Baltimore City Law Department’s Litigation Division, Law Clerk to the Honorable Paul W. Grimm, and as an associate attorney with the Labor & Employment practice group at the law firm of Miles & Stockbridge. 

Kate is a graduate of the University of Maryland at College Park, and she received her J.D. with honors from the University of Maryland Francis King Carey School of Law.  She is admitted to practice at the Maryland Bar and the Federal Bar for the U.S. District Court for the District of Maryland.




Emily Wein
UMMC General Counsel

Emily is Vice President and General Counsel for the University of Maryland Medical Center’s downtown and midtown campuses.  As a member of UMMC senior leadership and UMMS’s overall legal team, she provides legal and strategic counsel to the Medical Center’s leadership, management, and Board of Directors on regulatory, transactional, and operational matters.

Since 2003, Emily has focused her legal practice on health care law.  From 2009 to 2013, she was a member of the OGC at UMMS, during which time she supported the legal needs of all UMMS hospitals.  Emily also has practiced in the nationally recognized health law departments at the law firms of Baker Donelson, Bearman, Caldwell and Berkowitz (formerly Ober, Kaler, Grimes and Shriver) in Baltimore and Foley and Lardner in Washington, D.C.  In her private practice, Emily has represented hospitals and hospital systems, including academic medical systems, across the country.  Her practice areas have included fraud and abuse compliance, HIPAA privacy and security, Medicare enrollment, and state licensure matters.  Emily is a Chambers ranked attorney and has become a national expert on telehealth, which has behooved her in serving clients and speaking publically across the country. 

After receiving her undergraduate degree from Villanova University, Emily earned her J.D. and Master’s of Business Administration from the University of Maryland in Baltimore.  Prior to entering law school, Emily worked as a Child Life Therapy assistant at the Maryland Children’s Hospital at UMMC.  She is honored to be back at UMMC as its chief legal counsel.




Julie Rapoport Schenker
Senior Business and Litigation Counsel

julieJulie oversees litigation and investigation matters and provides legal counsel in support of business operations across UMMS.  She specializes in government investigations and enforcement matters, internal investigations, general litigation, and compliance counseling. 

Prior to joining UMMS, Julie practiced at Gibson, Dunn & Crutcher in Washington, D.C., where she represented health care provider and other clients in health care enforcement and compliance matters, other white collar defense and investigations, and related litigation.

Julie received her J.D. from Harvard Law School and her Bachelor of Arts degree from the University of Maryland, College Park.  Outside of UMMS, she serves as an adjunct lecturer at the Catholic University of America Columbus School of Law, where she teaches health law compliance.




 


Rebecca (“Becky”) Daley
Senior Counsel

Becky is an associate counsel on the OGC’s Transactions Team.  Her practice focuses on fraud and abuse regulatory advice (e.g., Stark, Anti-Kickback, False Claims Act), implementation of business ventures (e.g., joint ventures, acquisitions, sales), health law and compliance issues associated with hospital and medical group operations, transactions, and contractual arrangements.  Becky also regularly handles hospital and provider transactions (such as employment agreements, personal services arrangements, valuations, leases, lab agreements, HSCRC programs, and telehealth arrangements), system-wide materials management contracts disputes, processes, strategy and regulatory issues, and IS&T agreements (e.g., SaaS, HIEs, CRISP, EMR licenses, and RCM).  She also handles commercial real-estate matters and leases and provides counseling on data use, research related agreements, and related privacy, information blocking, and regulatory matters.

Prior to joining UMMS in 2019,  Becky worked in private practice with a focus on corporate law, business, and real-estate transactions for nine years, followed by three and a half years as Assistant General Counsel at Greater Baltimore Medical Center.

Becky earned her J.D. from the University of Maryland Francis King Carey School of Law.  She also graduated from Villanova University, Cum Laude.  She is admitted to practice at the Maryland Bar.




Sue Dent
Associate Counsel

Sue focuses her practice on corporate governance, mergers, acquisitions and related matters, system-wide materials management contracts (e.g., purchases of goods and services, consulting arrangements, inter-company arrangements, etc.), and hospital and provider transactions (e.g., affiliation agreements, employment agreements, professional services agreements, and space, equipment, and services leases).  She also handles general health law and compliance issues associated with hospital and medical group operations, transactions, and contractual arrangements.  Sue regularly counsels clients regarding privacy and security matters (e.g., HIPAA and confidentiality), patient care, and risk management, and she provides operations and litigation support.  Sue also handles employment-related matters, such as EEOC charges, regulatory matters (such as OSHA and DOL), employee relations matters with a legal component, investigations, severance agreements, and personnel policies.

Before she joined UMMS, Sue worked as Associate General Counsel for University of Maryland Upper Chesapeake Health.  Prior to that, she held the positions of Senior Director of Administration and Associate General Counsel at XLHealth and as Associate General Counsel for Carefirst Blue Cross Blue Shield.

Sue obtained her J.D. from the University of Baltimore School of Law.  She also possesses a bachelor’s degree from Loyola University.




Dena Terra
Associate Counsel

Dena is an associate attorney with the OGC, where she handles a broad range of matters pertaining to litigation, business operations, and patient care issues.  Dena’s practice includes risk management, medical staff and credentialing/licensing matters, real-estate and commercial transactions and disputes, and charitable giving and trust matters.  Dena provides litigation and dispute resolution support, strategic business and operations support, and she oversees the OGC’s law clerk and legal fellow programs.

Dena began her legal career as an associate with Whiteford, Taylor & Preston, LLP, and then as Partner in the law firm of Chason, Rosner, Leary & Marshall, LLC, where she focused her practice on the defense of health care providers in medical malpractice litigation.  She then served as Associate Counsel, Claims & Litigation at LifeBridge Health in Baltimore before joining UMMS.

Dena received her J.D. from the University of Baltimore School of Law. She also is a graduate of Loyola College in Maryland. She is admitted to practice in the Maryland Bar, the District of Columbia Bar, and in the Fourth Circuit Court of Appeals.




Christopher Tully
Associate Counsel

Chris specializes in fraud and abuse, physician contracts, payer and managed care contracting, corporate governance, and other regulatory matters.  His practice also includes general health law and compliance issues associated with hospital and medical group operations, transactions, and contractual arrangements. Chris counsels on legal risks involved with development and implementation of business ventures (e.g., Stark, Anti-Kickback, False Claims Act), data use and protection and regulatory issues (e.g., HIPAA, MRA, confidentiality, etc.), corporate governance, joint ventures, mergers and acquisitions, and payer and managed care contracting and related matters and programs.  He also regularly handles matters such as system-wide materials management contracts (e.g., purchases of goods and services, consulting arrangements, inter-company agreements, etc.), hospital and provider transactions including affiliation agreements, employment agreements, and professional services agreements and leases (e.g., space, equipment, and services). 

Chris began his legal career as an associate at the law firm of Tydings & Rosenberg LLP, where he practiced medical malpractice and health care law.  He also was Senior Associate in the Health Care Group at the law firm of Miles & Stockbridge PC. 

Chris obtained his J.D. from the University of Baltimore School of Law, Magna Cum Laude.  Prior to that, he received his Bachelor of Arts degree from Georgetown University.  He is admitted to practice in the Maryland Bar, the Superior Court of the District of Columbia, and the Federal Bar for the U.S. District Court for the District of Maryland.  Chris also serves as Vice President and General Counsel for the non-profit organization, the Spencer Grace Foundation, Inc.




Andrea Murphy
Associate Counsel, Labor & Employment

Andrea’s practice focuses on a broad range of labor and employment law matters for UMMS and its member organizations.  She counsels clients in areas such as employment discrimination, reasonable accommodation obligations, whistleblower claims, wage and hour laws, reductions in force, and labor relations matters.  Andrea also drafts and reviews employment agreements and personnel policies, provides employment law training, and conducts workplace investigations.  She also represents clients before the Equal Employment Opportunity Commission, the Maryland Commission on Civil Rights, and other regulatory agencies.

Andrea began her legal practice as a management-side labor and employment attorney at Kollman and Saucier, PA, where she represented a variety of businesses, including hospital systems and medical practices.  Prior to and during law school, Andrea worked in private practice, providing legal support in disability benefits, ERISA, and workers’ compensation claims.

Andrea received her J.D. with honors from the University of Baltimore School of Law.  Andrea competed on the Labor and Employment Law Moot Court team and sat as a member of the Moot Court Board.  Andrea received her bachelor’s degree in English language and literature from the University of Maryland, College Park.  She is admitted to practice in the Maryland Bar and the Federal Bar for the U.S. District Court for the District of Maryland.



Trevor H. Coe
Associate Counsel

tTrevor handles Medical System matters related to litigation, business operations, and employment law. His practice includes managing ongoing litigation, providing advice on a range of regulatory and compliance issues, and defending matters before the EEOC and the Maryland Commission on Civil Rights.

Before joining the UMMS OGC in 2022, Trevor served as an Assistant Attorney General for the Maryland Health Benefit Exchange, representing the agency in litigation and employment matters as well as providing regulatory advice on the Affordable Care Act and Medicaid. He began his legal career as an associate at the Baltimore litigation firm of Brown, Goldstein & Levy. 

Trevor received his J.D. from the Fordham University School of Law and undergraduate degree from Columbia University. He is admitted to practice at the Maryland Bar, the Federal Bar for the U.S. District Court for the District of Maryland, and the Second Circuit Court of Appeals. 


Michael Brown
Associate Counsel

mbMichael is an associate counsel working with both the Transactions Team as well as the Business Operations and Litigation group. Within the Transactions group, Michael handles hospital and provider transactions including employment agreements and vendor contracts, as well as conducting relevant legal and regulatory analyses affecting the wide variety of contracting matters in service of the member organizations. In the Business Operations and Litigation group, Michael utilizes his experience in government investigations and enforcement to support member organization operations across UMMS in a range of general health law and compliance matters.

Prior to joining UMMS, Michael worked as a trial attorney in the U.S. Department of Justice where he handled vaccine-related litigation. He also served as an Assistant Attorney General representing the Maryland Department of Health in disciplinary matters, and as an Assistant State’s Attorney in Baltimore City where he prosecuted homicides and other violent crimes.

Michael earned his J.D. from Penn State University. He earned his undergraduate degree from Drexel University. He is admitted to practice law in Maryland, and the U.S. Court of Federal Claims.


Jessica Shadow
Associate Counsel

jsJessica is an associate counsel on the OGC’s Transactions Team. Jessica specializes in physician contracts, vendor contracts, general health law, compliance issues related to hospital and medical group operations, and other regulatory issues. She also handles matters associated with development and implementation of business ventures (e.g., Stark, Anti-Kickback, False Claims Act), including data use and protection. Jessica also regularly handles system-wide contracts (e.g. supply chain, services, consulting agreements), as well as a variety of hospital and provider transactions, including affiliation agreements, employment agreements, and professional services agreements and leases.

Prior to joining UMMS, Jessica worked in private practice as an associate at Shapiro Sher with a focus on regulatory and administrative law, contracts, insurance, business disputes, and litigation. She was also an associate with Eccleston & Wolf.

Jessica earned her J.D., summa cum laude from the University of Baltimore School of Law, and a B.A. degree from University of Baltimore. She is admitted to practice by the Maryland Bar and the Federal Bar for the U.S. District Court for the District of Maryland. Jessica also serves on the Board of Directors for the non-profit organization, Camp Opportunity of Maryland.


Allan Carey
Paralegal

Allan joined UMMS as a law clerk in 2017.  In his current role as Paralegal, Allan assists clients primarily with transaction matters, including physician employment and independent contractor agreements, leases, and other agreements.  He also helps manage the Ntracts database, provides Ntracts user support, and performs intake of requests to review.  Allan also provides legal research and other general support to the OGC, as needed.

Prior to joining UMMS, Allan served as a legal intern for the Honorable Kevin F. Arthur of the Maryland Court of Special Appeals.  Allan obtained his J.D. from the University of Maryland Francis King Carey School of Law.  He holds his undergraduate degree from the University of Maryland Baltimore County.



 

Ebony Rumsey-Keene
Legal Assistant


ebonyEbony joined UMMS as a legal assistant in June 2022. Ebony acts as a liaison between attorneys, clients, employees, and customers. She provides a range of office management support, including scheduling, filing, corresponding, preparing documents, and handling billing and other customer matters.

Ebony has over 20 years of legal support experience. Prior to joining UMMS, she served as a Senior Paralegal for a Baltimore based law firm. She obtained her Associate’s Degree in Paralegal Studies from Kaplan University in November 2007.
